Terms of Service

By engaging Akarvi Labs Private Limited ("Akarvi Labs", "we", "us", or "our") for any services, you ("Client", "you", or "your") agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not engage our services.

These terms constitute a legally binding agreement between you and Akarvi Labs Private Limited (CIN: U62011PN2025PTC247048), a company incorporated under the laws of India, with its registered office in Pune, Maharashtra.

Akarvi Labs provides end-to-end custom software development services for businesses. Our offerings include, but are not limited to:

• Custom Enterprise Resource Planning (ERP) systems
• Customer Relationship Management (CRM) platforms
• AI and machine learning automation systems
• Management Information System (MIS) dashboards
• Mobile application development (iOS and Android)
• Cloud infrastructure setup, migration, and management
• Web application development and SaaS platforms
• API development and third-party integrations

The specific scope of services for each engagement will be defined in a separate Statement of Work (SOW) agreed upon by both parties.

Every engagement with Akarvi Labs follows a structured process to ensure clarity, alignment, and successful delivery:

• Discovery Visit — We begin with an on-site or virtual discovery session to understand your business processes, pain points, and objectives in detail.
• Blueprint & Proposal — Based on discovery, we prepare a detailed project blueprint including system architecture, feature specifications, timeline, and cost estimates for your review and approval.
• SOW Signing — Upon blueprint approval, both parties sign a formal Statement of Work (SOW) that defines scope, deliverables, milestones, timelines, and payment schedule.
• Milestone-Based Delivery — Development proceeds in clearly defined milestones with regular demos, feedback cycles, and sign-offs at each stage.

No development work commences until the SOW is signed and the initial milestone payment is received.

All project payments are milestone-based and follow this standard structure unless otherwise agreed in the SOW:

• 25% — Project Kickoff — Due upon SOW signing before development begins.
• 25% — Development Midpoint — Due upon completion and demo of core modules as defined in the SOW.
• 25% — Final Delivery — Due upon delivery of the complete system for UAT (User Acceptance Testing).
• 15% — Deployment & Go-Live — Due upon successful deployment to production environment.
• 10% — Post-Warranty — Due after the 30-day warranty period ends with no outstanding critical issues.

All invoices are payable within 15 days of issue unless otherwise specified. Late payments may attract an interest of 1.5% per month on outstanding amounts. Akarvi Labs reserves the right to pause work on overdue accounts.

Intellectual property rights for custom-developed software are governed by the following terms:

• All custom code, designs, and documentation developed specifically for the Client shall transfer to the Client upon receipt of full and final payment as outlined in the SOW.
• Complete source code, along with technical documentation and deployment guides, will be handed over to the Client upon project completion and final payment clearance.
• Akarvi Labs retains ownership of proprietary frameworks, libraries, tools, and reusable components that were developed independently and not specifically for the Client's project.
• The Client is granted a perpetual, non-exclusive license to use any proprietary Akarvi Labs components included in their deliverables.

Until full payment is received, all intellectual property remains with Akarvi Labs Private Limited.

Confidentiality is fundamental to every engagement with Akarvi Labs:

• A mutual Non-Disclosure Agreement (NDA) is signed before the discovery phase begins. No proprietary business information is discussed or documented without this protection in place.
• Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, business processes, and technical details shared during the engagement.
• Confidentiality obligations survive the termination of the engagement for a period of three (3) years unless otherwise specified in the NDA.
• Akarvi Labs will not disclose the Client's identity or project details in case studies, marketing materials, or portfolios without prior written consent from the Client.

After the warranty period, Akarvi Labs offers an optional Annual Maintenance Contract to ensure continued system health and support:

• AMC is priced at 15–20% of the total project cost annually, depending on system complexity and support requirements.
• Bug fixes & patches — Resolution of any bugs or defects identified during the AMC period.
• Security updates — Regular security patches and dependency updates to protect against vulnerabilities.
• Dedicated support hours — 8 to 12 hours per month of development and support time for minor enhancements, fixes, and technical queries.
• Monitoring & uptime — Basic infrastructure monitoring and uptime assurance for cloud-hosted systems.

AMC terms are renewed annually. Feature additions or major scope changes beyond the included support hours are quoted separately.

Akarvi Labs provides the following warranties and liability terms:

• A 30-day warranty period begins from the date of final deployment. During this period, any bugs, defects, or issues directly attributable to Akarvi Labs' development work will be resolved at no additional cost.
• The warranty covers defects in the delivered software as measured against the agreed specifications in the SOW. It does not cover issues arising from Client modifications, third-party integrations not in scope, or infrastructure changes made by the Client.
• Akarvi Labs' total aggregate liability for any claims arising out of or related to the engagement shall not exceed the total project cost as defined in the SOW.
• Akarvi Labs shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Either party may terminate the engagement under the following conditions:

• Either party may terminate the agreement by providing 30 days written notice to the other party.
• Upon termination, the Client shall pay for all work completed up to the termination date, including any milestone payments due for delivered work.
• Akarvi Labs will provide all completed deliverables, source code, and documentation for work that has been paid for up to the point of termination.
• In the event of termination for cause (material breach by either party), the non-breaching party may terminate immediately upon written notice if the breach is not cured within 15 days of notification.

Confidentiality and intellectual property obligations survive termination of the engagement.

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or controversies arising out of or relating to these terms or the engagement shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of not less than 30 days.

Akarvi Labs reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting the updated terms on our website. We will make reasonable efforts to notify existing clients of material changes.

Continued engagement with Akarvi Labs after any modifications to these terms constitutes acceptance of the revised terms. It is the Client's responsibility to review these terms periodically.
